1. Introduction

Please read these Terms of Service (these “Terms”) carefully, as they govern your access to and use of Outright Play’s services, including but not limited to our websites, digital platforms, applications, distribution services, promotional services, and any other products or services offered by Outright Play (collectively, the “Services”).

These Terms apply to all users of the Services, including artists, licensors, collaborators, and visitors. By accessing or using the Services, you agree to be bound by these Terms and any additional terms, policies, or guidelines referenced herein or made available by Outright Play from time to time (collectively, the “Agreements”).

If you do not agree to these Terms, you must not access or use the Services.

Outright Play reserves the right to modify these Terms at any time. Changes will be effective upon posting or as otherwise communicated. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

2. Scope of Label Services

Outright Play operates as a full-service record label and may provide, at its sole discretion, services including but not limited to:

• Artist grooming and development (including creative direction, branding, training, and mentorship)
• Music publishing administration and rights management
• Recording, production, and release of sound recordings
• Marketing, promotion, and distribution
• Financial investment, advances, or funding of projects
• Strategic career planning and industry placement

Nothing in these Terms obligates Outright Play to provide any specific service,funding,or release unless expressly agreed in writing.

3. Artist Development

Outright Play may engage in artist development activities designed to enhance the artist’s creative, professional, and commercial readiness. This may include mentorship, feedback, training, creative oversight, and strategic guidance.

3. Ongoing label support or investment
   
   All development activities are subject to Outright Play’s creative and commercial discretion.

4. Intellectual Property

All content made available through the Services including, but not limited to, logos, trademarks, service marks, trade names, text, images, audio recordings, musical compositions, videos, graphics, artwork, metadata, and software is owned by or licensed to Outright Play and is protected by applicable copyright, trademark, and other intellectual property laws.

Except as expressly permitted in writing by Outright Play or under a separate agreement, you may not reproduce, copy, distribute, transmit, publicly display, publicly perform, modify, create derivative works from, sell, license, or otherwise exploit any Content for commercial or non-commercial purposes.

Outright Play shall have the unrestricted and exclusive right to use, reproduce, distribute, sell, license, communicate to the public, perform, broadcast, synchronize, adapt, modify, remix, and otherwise exploit the Recordings, in whole or in part, by any means now known or hereafter devised, without limitation and without further approval from the Artist/Client.

The Artist shall not, without the prior written consent of Outright Play, copy, reproduce, distribute, exploit, license, or otherwise use the Recordings or any part thereof, except as expressly permitted under this Agreement or required by applicable law.

5. Recording Rights

Subject to these Terms, Outright Play shall own all exclusive and irrevocable rights in and to all sound recordings, master recordings, audiovisual recordings, performances, and any other recorded material delivered or created by the Artist under this Agreement.

6. Lawful Use

You shall use Outright Play’s services strictly in compliance with all applicable laws and regulations of Sri Lanka, as well as all relevant international laws, treaties, and industry standards. You shall not engage in any activity that is unlawful, fraudulent, misleading, or otherwise harmful to Outright Play or any third party.

You further agree to provide information that is true, accurate, current, and complete when engaging with Outright Play and to promptly update such information to ensure its continued accuracy.

7. Third Parties

Outright Play’s services may include links to, integrations with, or access to third-party websites, platforms, services, or content. These Third-Party Services are provided solely for convenience and informational purposes.

Outright Play does not own, control, or endorse any Third-Party Services and makes no representations or warranties regarding their availability, accuracy, content, policies, or practices. Your access to and use of Third-Party Services is entirely at your own risk and subject to the terms, conditions, and privacy policies of those third parties.

8. Indemnification

You agree to indemnify, defend, and hold harmless Outright Play, its owners, directors, officers, employees, agents, affiliates, and partners from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses arising out of or relating to:

• Your access to or use of the Services;
• Your breach or violation of these Terms;
• Any content, materials, or information submitted, provided, or made available by you; or
• Any infringement or alleged infringement of the rights of Outright Play or any third party resulting from your actions or omissions.
  
  This indemnification obligation shall survive the termination or expiration of your relationship with Outright Play or your use of the Services.

9. Third Parties

Outright Play reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to:

• Your breach or violation of these Terms;
• Any unlawful, fraudulent, or harmful activity;
• Infringement of intellectual property or other rights;
• Misuse of the Services or interference with its operation or security;
  
  Termination does not relieve you of any obligations incurred prior to termination, including but not limited to payment obligations, indemnification, or confidentiality obligations.
  
  Upon termination, you must cease all use of the Services and, where applicable, delete or destroy any materials provided by or obtained from Outright Play.
  
  Any rights granted to you under these Terms automatically terminate upon termination, and Outright Play retains all rights to the content, recordings, or materials created under these Terms.
